The Role
In this role you will:
Provide independent corporate legal advice to the QBE Pool, in relation to legal aspects of finance transactions, major acquisitions, sales and joint ventures including due diligence, structuring, drafting and execution of the transactions
Continually update own knowledge of the Corporate Regulatory environment to maintain best advice for QBE Pool
Provide independent corporate legal advice that achieves effective and efficient processes and desired outcomes
Contribute to the management of Legal Risk to ensure minimum financial impact on QBE Pool results and to protect QBE Pool’s reputation
Ensure the legality of Incorporation activities in relation to mergers and acquisitions to ensure compliance with legal requirements
Manage which services are best provided internally and which services are best outsourced to minimize costs or improve efficiency
Drives business performance through others facilitating effective planning, control and support mechanisms to ensure delivery of the business plan in line with market and shareholder expectations
Identify actual and potential company secretarial issues and highlight exceptional ones to minimize risk to QBE Pool operations
Identify and reduce legal and corporate risk to the business to minimize the cost and risk to QBE Pool operations
Work with other QBE Pool managers and external service providers by engaging in concise and timely communication and helpful cooperation to proactively protect QBE Pool’s interests
Prepare documents for BoD, BoC meetings, AGM and EGMS.
This Role is based in Jakarta and will report to the President Director
Responsibilities:
Contribute to the overall development and execution of QBE Pool Strategy to ensure compliance with the legal requirements of a Corporate Body
Contribute to ensuring compliance with relevant legislation, industry codes and Company policies, guidelines and processes to protect QBE Pool’s interests
Responsible for ensuring that company complies with standard financial and legal practice and maintains standards of good corporate governance referring to OJK
As a point of communication between the board of directors and all company shareholders
Reporting in a timely and accurate manner on company procedures and developments;
Direct the preparation of all agendas and corporate legal and company secretarial memoranda for such meetings to meet legal requirements and brand image requirements
Ensure the timely and efficient distribution of board/committee papers once received from management
Attend all meetings of the QBE Pool BoD, BoC, Committees, shareholders and AGM, keeping a record of proceedings as required by law
Advise on AGM/board/committee procedures to maintain legality of process
Demonstrating the ONE QBE Values.
Requirements:
Indonesian
Minimum 10 years experience acquired in MNC or JV Company
Corporate law work (desired)
Business or law degree (required)
Proficient in English is a must
